C’est le type de société préféré par les investisseurs étrangers au Luxembourg. Le nombre maximum d’associés est de 40 qui sont responsables des dettes de l'entreprise qu’au mesure de la contribution individuelle au capital. Le capital minimum de 12.400 euros est divisé en des certificats de participation.

> Société Anonyme - SA
Ce type de société doit avoir au moins deux actionnaires, résident ou non, personnes physiques ou morales. Ce type de société est régi par le droit des sociétés en 1915 et est destiné aux entreprises étendues. Le capital minimum de 31.000 euros est divisé en actions négociables. Les actionnaires, qui peuvent garder l'anonymat, sont responsables des dettes de la société seulement en mesure de la contribution individuelle au capital social.

> Succursale, filiale ou bureau de représentation - Toute société étrangère a le droit d'établir des succursales en Luxembourg. Celles-ci peuvent avoir le statut d'entité distincte de la société mère (sociétés enregistrees en Luxembourg ou la société-mère est l’actionnaire unique) ou extensions de la société-mère.
