> stesura dell’atto costitutivo (necessario per la costituzione della compagnia);
L’atto costitutivo di una societa registrata in Turchia può essere firmato tramite procura (la stessa cosa è valida anche per le procedure notarili, una pratica richiesta dalla legge).

> stesura di tutti gli altri documenti necessari per la costituzione della compagnia;
Tra essi sono inclusi: specimen di firma, moduli speciali messi a disposizione dal registro delle imprese della Turchia, fotocopia del passaporto, ecc.

> pianificazione delle procedure notarili (gli atti necessari per la costituzione di una compagnia in Turchia debbono essere legalizzati da parte di un notaio pubblico). Nel caso in cui non desiderate presentarvi personalmente davanti al notaio, vi possiamo rapppresentare con l’intermedio di una procura.

> offrire una sede sociale per la nuova compagnia in Turchia (se non esiste già una);
Qualsiasi indirizzo può essere dichiarato come sede dell’azienda. L’indirizzo sarà pubblicato.

> apertura di un conto bancario;
Questo passo si riferisce sia a un conto del capitale sociale, come anche un conto corrente.

> scelta di un commercialista in Turchia;
I servizi di contabilità sono raccomandati per qualsiasi compagnia registrata in Turchia.

> Turkish Limited Liability Company – È il tipo di entità legale preferita dalle piccole e medie società, grazie al processo di costituzione relativamente semplice, imposte ridotte, ma anche altri vantaggi. Si può costituire da due o più persone, fisiche o giuridiche, che sono responsabili per i debiti e obblighi dell’azienda soltanto nel limite del contributo individuale sul capitale sociale. Il capitale sociale minimo obligatoriu è pari a 5.000 YTL (circa 2.400 EURO). Una S.R.L. non può emettere i certificati delle azioni.

> Turkish Joint Stock Company
– La maggioranza delle grandi compagnie, preferiscono questo tipo di società. Nonostante ciò, succede spesso che una S.R.L. si trasforma in società per azioni, oppure diventa azionista di una. Una S.A. ha necessità di almeno 5 azionisti, con un capitale sociale minimo pari a 50.000 YTL (circa 24.000 EURO). I membri di una società con responsabilità limitata sono responsabili per i debiti e obblighi dell’azienda nel limite del contributo individuale sul capitale sociale. Una società per azioni ha il diritto di emettere i certificati delle azioni.
Non esistono restrizioni con riferimento alla nazionalità del direttore della compagnia. Nonostante ciò, visto i requisiti del Ministero del Lavoro, con riferimento all’ottenimento di un permesso di lavoro per esso (tra l’altro è obbligatorio che per ogni dipendente straniero la compagnia assuma cinque persone di nazionalità turca), è raccomandabile la nomina di un direttore locale.
 

> Succursale, filiale o rappresentanza in Turchia - Qualsiasi compagnia straniera ha il diritto di costituire una succursale in Turchia. Essa può avere lo statuto di entità separata dalla compagnia madre (compagnie registrate in Turchia nelle quali la compagnia madre è azionista unico), oppure estensione della compagnia madre, che non ha un capitale sociale proprio.
