Costituzione società in Germania, Aprire un'azienda in Germania

> stesura dell’atto costitutivo (necessario per la costituzione della compagnia);
L’atto costitutivo di una societa registrata in Germania può essere firmato tramite procura (la stessa cosa è valida anche per le procedure notarili, una pratica richiesta dalla legge tedesca).

> stesura di tutti gli altri documenti necessari per la costituzione della compagnia;
Tra essi sono inclusi: specimen di firma, moduli speciali messi a disposizione dal registro delle imprese della Germania, fotocopia del passaporto, ecc.

> pianificazione delle procedure notarili (gli atti necessari per la costituzione di una compagnia in Germania debbono essere legalizzati da parte di un notaio pubblico);

> offrire una sede sociale per la nuova compagnia in Germania (se non esiste già una);

> apertura di un conto bancario;
Questo passo si riferisce sia a un conto del capitale sociale, come anche un conto corrente.

> Gesellschaft mit beschränkter Haftung (GmbH - società con responsabilità limitata in Germania) Questo tipo di società può avere un socio unico, ha necessità di un direttore, e di una sede sociale. Il capitale sociale minimo è pari a 25.000 EURO.

Se il direttore della società non è residente in Germania, le autorità fiscali sollecitano, solitamente, la dimostrazione della sua presenza periodica nel paese.
Nel caso in cui il direttore della compagnia è cittadino di un paese al di fuori dell’Unione Europea, esso dovrà ottenere un permesso di lavoro.

> Aktiengesellschaft (AG - società per azioni in Germania) Questo tipo di società può avere un socio unico, ha necessità di un direttore, un consiglio di amministrazione, e una sede sociale. Il capitale sociale minimo è pari a 50.000 EURO.

> Succursale, filiale o rappresentanza in Germania - Qualsiasi compagnia straniera ha il diritto di costituire una succursale in Germania. Essa può avere lo statuto di entità separata dalla compagnia madre (compagnie registrate in Germania nelle quali la compagnia madre è azionista unico), oppure estensione della compagnia madre.
