Costituzione società in Danimarca, Aprire un'azienda in Danimarca

L’atto costitutivo di una societa registrata in Danimarca può essere firmato tramite procura (la stessa cosa è valida anche per le procedure notarili, una pratica richiesta dalla legge danese).

Tra essi sono inclusi: specimen di firma, moduli speciali messi a disposizione dal registro delle imprese della Danimarca, fotocopia del passaporto, ecc.

> pianificazione delle procedure notarili (gli atti necessari per la costituzione di una compagnia in Danimarca debbono essere legalizzati da parte di un notaio pubblico);

> offrire una sede sociale per la nuova compagnia in Danimarca (se non esiste già una);

> apertura di un conto bancario;
Questo passo si riferisce sia a un conto del capitale sociale, come anche un conto corrente.

> Società privata con responsabilità limitata in Danimarca (Anpartsselskab - ApS) - Questo tipo di entità giuridica può essere costituita da uno o più soci, senza l’esistenza di restrizioni con riferimento alla nazionalità o statuto di residente di essi. Inoltre, non è necessario che il direttore sia un cittadino danese. Una società privata con responsabilità limitata necessita di un capitale sociale minimo pari a 125.000 DKK (corone danesi, circa 17.000 EURO). I partner contribuiscono al capitale dell’azienda con le parti sociali che hanno un valore nominale. Esse non sono negoziabili, e non si possono trasferire. I soci sono responsabili per i debiti della compagnia, nel limite della contribuzione individuale.

> Società pubblica con responsabilità limitata in Danimarca (Aktieselskab - A/S) - Questo tipo di compagnia può essere costituita da uno o più soci, che non avranno la responsabilità dei debiti della compagnia. Il capitale sociale minimo è pari a 500.000 DKK (circa 68.000 EURO), e le azioni possono essere vendute verso il pubblico.

> Succursale, filiale o rappresentanza in Danimarca - Qualsiasi compagnia straniera ha il diritto di costituire una succursale in Danimarca. Essa può avere lo statuto di entità separata dalla compagnia madre (compagnie registrate in Danimarca nelle quali la compagnia madre è azionista unico), oppure estensione della compagnia madre.
