The Serbian Business Registration Agency

The Serbian Business Registration Agency is founded under the Business Registers Agency Law. It is an institution that finances itself providing services in exchange for fees, and does not function with the help of the budget of the Republic of Serbia. The Trade Register in Serbia is managed by a Board of Directors appointed by the Government of Serbian Republic and the Agency's Director. The Registrars, named by the Board of Directors manage the institution's registers. The Business Registration Agency is divided into three departments: the Serbian Register of Companies, the Register of Entrepreneurs and The Registry of foreign parties.

The Company Registrar in Serbia functions since 2005 in a new form, allowing an improved and efficient registration procedure through an electronic system. The system's database contains centralized information of companies functioning in Serbia that are available for every inquirer.

The information subjected for registration is the business name, the location, date and time of foundation, date and time of changes, registration number obtained from the Statistics Office, tax identification number, legal status, bank account number, information about founders, managing directors, shareholders, capital, if the case, data on liquidation or insolvency procedures and other information. After registration of a Serbian company, every company can get their registration number at any time. When doing so, a tax for assignment of registration number has to be paid.

The Serbian Companies Registry is open for anyone who whishes to obtain information. The institution is obliged under law to issue copies of documents. In order to obtain one, an application must be filed along with a proof of fee payment. In order to register a legal entity, the representative of that entity must also submit an application, available online.

In order to notify the register of any registration changes the application must be submitted by the authorized representative, or a person designated by him. In a few days time the certificate of incorporation or decision of approval on changes made to the registration information of a company are issued. All the applications can be withdrawn anytime prior to registration, also by a representative of the entity, or by a person authorized by him.
