The institution in charge with company registration is the Registre de Commerce et des Societes. The institution handles registration of legal entities, planning to engage in business activities and all related activities. Its main purpose is to maintain a good communication between public and organizations and ensure every company's activities are in conformity with the laws of Luxembourg.
The Registre de Commerce et des Societes of Luxembourg is divided into departments handling company registration, property legislation and different types of legal entities registration. It stores information in its databases, information accessible through a simple inquiry or request via e-mail. Also if a person is interested in a quick response over a company, he or she can conduct a search online, on the Web site of the Registre de Commerce et des Societes of Luxembourg. The search engine has different filters which facilitate the search process. For example certain company information, as address, Web site, managers, or date of incorporation can be used as filters in order to obtain the information requested. In order to access the services offered by the Registre de Commerce et des Societes of Luxembourg a user account must be created.
Luxembourg established companies are registered with the Register de Commerce et des Societes by submitting company documents, as articles of association, company legal address, bank account, members, or shareholders information, list of names involved in the management of the company and other significant information requested by the Register. The registration process for a company is rather short, and in case of acceptance a registration certificate is issued, and the company can legally commence its business activities. However, depending on the company type, including business activities and number of shareholders, supplementary information may be requested.
After registering the company at the Registre de Commerce et des Societes of Luxembourg, companies are assigned user accounts and they may store information on their company, which will be published after approval. Also in case of major changes in the company, the Registre de Commerce et des Societes of Luxembourg must be notified via e-mail or by personal visit, submitting the necessary documents. These changes include different address, replacement of members in the directory board or even change of organization form, for example from partnership to limited liability company.
The Registre de Commerce et des Societes of Luxembourg has an intermediary role between companies and public, facilitating communication and offering a reliable source of information for anyone.
