The institution in charge with company registration in Italy is the Register of Enterprises of Italy, regulated by the Chamber of Commerce. Its main scope is to register different legal entities storing information into databases permanently accessible to the public. Providing a good communication between different entities and the public is of great importance to the institution, the same as ensuring every entity is incorporated and functions legally.
The database where information is stored is distributed by the Chambers of Commerce to entrepreneurs, professionals, public administrators and private citizens throughout the state of Italy. Registering online is done through InfoCamere, a portal allowing digital signing to Chambers of Commerce. Specialized legal advice facilitates the procedure, end ensures it is done right. The Italian Chambers of Commerce system consists of over one hundred chambers of commerce, 19 Regional Unions, over 150 branches and 13 Regional Overseas Centres. The institution finances itself and does not rely on public money.
Registering a company with the Register of Enterprises is done through filling an application containing significant company documents as articles of association, company charters, list of names and addresses of members and shareholders etc., as well as tax identification number, VAT number and registration with Social Security Administration and Accident Insurance Office. The process is completed in one week and in case of acceptance the company is issued a registration certificate meaning it can commence its business activities.
Searching information and ordering extracts on companies may be done with a simple inquiry at InfoCamere or by personal visit at one of the Chambers of Commerce's offices throughout Italy. A user can insert the company name, date of incorporation or any other significant information as criteria and simplify the search. Public inquiries are answered in a short period of time by Chamber's clerks.
The Register of Enterprises must be notified in case of major changes. This formality is completed via e-mail and a fee applies, depending on the number of changes. The institution must be notified if the directors are replacement, the address is changed or the company evolves into a bigger business organization type.
The purpose of the Register of Enterprises is to deal with general interests, promoting local and national development, transparency in business activities. It also ensures that every company is founded and functions legally, ensuring links between the business system and public authorities.
