The Companies Registration Office in Ireland is the institution where the public statutory information on Irish companies and businesses is stored. The institution has as main functions the incorporation of Irish companies and registration of business names, to apply the enforcement of the Companies Acts in relation to filling obligations of companies and providing information for the public.
The Irish Companies Registration Office registers new companies in the republic of Ireland storing information about their headquarters, manager names, board of directors, social capital, etc. The purpose is to identify companies, and to make distinctions between one another. In order to register for a trading name the solicitor has to fill specific forms, choosing from individual forms, partnership forms or body corporate forms. The specific forms are available online or at the Registration Office's headquarters.
The Irish Company Registrar does not check the uniqueness of the submitted name, therefore it is recommended that the applicant submit an investigation for the availability of the chosen name. Using the Company Search facility an individual can check the register of companies and of business names free of charge.
Registering a company Ireland is done through the Companies Registration Office by filling a specific form, and submitting it with a memorandum and articles of association. The form requires details on the company name, registered office, details of secretary and directors, subscribers and details of their shares. The submitted documents are analyzed and checked and processed in chronological order. Persons who wish to incorporate businesses are required to classify the principal activity of the company using the NACE classification for economic activities, which is available online on the website of the Irish Trade Registry.
After the registration process is completed, and the registration certificate is issues, the representative of the business entity is required to notify the Companies Registration Office of any significant changes, as replacement of directors, change of the registered office etc., and where it is the case, the representatives of the company must submit documents. The notifications are analyzed and the approval is issued in a few days, or additional documents are requested.
