Setting up business in a country like Sweden enables entrepreneurs to benefit from the welcoming environment of the country, the incentives available and the real possibility of profit. There are various company types, for different needs and capitals and the incorporation process can be quite complex. On the opposite of complex are the Swedish shelf companies. These company types are business entities already formed and incorporated in Sweden. They are ready to use after they are bought and through share transfer. Besides the less complex procedure required to buying such a company, the biggest advantage is its immediate use.
One can purchase a Swedish shelf company by share transfer. This means all the shares of the shelf company are transferred on the name of the future shareholder. In order to commence the process, a Share Transfer Agreement must be signed by both parties, and certain documents need to be provided and authenticated. As the buyer of the Swedish shelf company may be a natural person or a legal entity, documents of identification are required. Notarization of such documents is only required for citizens or legal entities of non-EU or EEA member states.
After the share transfer is concluded the new shareholder may modify the structure of the company, may add objects of activity, change the name address etc. All of these changes need to be registered at the Trade Register of Sweden, as well as the new Board of Directors and the new modified Articles of Association.
Shelf companies can be aged or brand new. Swedish aged shelf companies are usually more expensive as they obtain a higher trust factor through time. Some of the companies may have had previous activity, and therefore have business relationships established an advantage for most entrepreneurs. However these companies need to be thoroughly verified and the new shareholder needs to be informed on the tax and accounting fillings, possible debts and assets of the Swedish shelf company. For this reason some entrepreneurs choose to buy brand new shelf companies and start their brand new venture in Sweden.
Purchasing a shelf company is certainly the way to go for entrepreneurs who want to avoid the lengthy and complex process of company incorporation. There are many advantages in choosing such a company, and the features of shelf companies are varied. However the most obvious advantage is the possibility of commencing business at once.
