Register a Non Profit Organization in the Czech Republic

The non profit organizations in the Czech Republic are considered legal entities that must be registered in specific registers. The tax acts defines the non profit organizations as entities established with purposes apart from making profits for its members.

According to the tax laws, the organization mustn’t pay taxes on contributions, membership fees, donations or governmental grants.

The foundations and the foundation funds are organizations established with the goal of providing public benefit services as the assurance of the human rights, culture, education, environment, etc.

The charter of the foundations and foundation funds must contain the name and address, the name and the address of the founder and the certificate of registration (if it’s a corporate body), the reason and the purposes of the foundation, the amount deposited by each member, the name and details of each member of the board, the name of the person in charge with the assets.

There is a minimum capital of a Czech foundation that cannot be decreased, with the value of 500000 CSK.

The foundations and foundation funds must be registered in the Foundations Register which will state the name, address, identification number, name and details of the founders, the amount of capital, details regarding the members of the management board, details regarding the members of the supervisory board, a list with the non cash contributions to the capital and their value.

The management of the foundation is based on a board of management formed by at least three members, or with the total number of managers divisible with three. The members are appointed by the founders.

If the capital of the foundation or foundation fund exceeds 5 millions CZK, a supervisory board must be appointed. It is considered a body of control.

Every year, the foundations must deposit audited annual accounts. The accounts of the foundations funds must be audited only if the capital exceeds 3 millions CZK but either way it must be deposited at the tax authorities.

The citizens associations are formed in order to provide certain services or achievement of non material benefits for its member that has to be clients of general public. Unlike foundations, no contributions have to be made by the members.

The public benefit organizations are formed in order to provide public services, such as health care or education. A particularity of the public benefit organizations is that it must publish annual reports on their activities.
