 Are there any special requirements for creating a Polish Representative Office?

The foreign companies that open representative offices in Poland must follow the regulations of the Polish Act of the Freedom of Business Activity.

A representative office in Poland is created mostly to give assistance to the foreign company in the execution of cooperation agreements between them and the Polish market, to develop the exchange of commercial and economic information and develop trade and economic bounds with Polish companies or organizations. It is considered a part of the foreign company, not a legal entity and cannot perform commercial activities, like invoicing goods and services and signing contract in the name of the foreign company.

The accounts of a representative office in Poland must be kept in Polish.

A representative office must notify the Polish Ministry of Economy if the parent company is liquidated or it’s losing the rights to perform business activities and also announce any changes that occurred regarding the documents submitted at registration.
