Are there any special requirements for creating a Macedonian Representative Office?

A foreign company that is willing to open a representative office in Macedonia must keep in mind that it can perform only certain types of operations through it. A representative office may not perform any commercial activities because is not considered a legal entity. This type of business may choose from a limited list of activities that can be undertaken.

A representative office can’t raise any invoices for services or goods and cannot be invoiced by another company for goods or invoices. It cannot sign contracts in the name of the parent company.

The responsibility for the actions of the representative office is taken by the foreign company.

If a representative office begins any commercial activities than it has to be re-registered as a branch and must submit all the necessary documents in order to be registered for the specific taxes.

What is the minimum share capital of a Macedonian Representative Office?

No share capital is necessary to open a representative office in Macedonia, because it is not considered a source of profit and it’s created only for marketing reasons.

How much does it cost to create a Macedonian Representative Office?

The costs of opening and operating a representative office in Macedonia are entirely supported by the foreign parent company. Besides the registration fee, that has to be paid to the Central Register, the foreign company must also support the costs of rent, salary payments, utilities payment.

What documents are required for the setup of a Representative Office in Macedonia?

The necessary documents that have to be submitted to the Central Register by the foreign company that wishes to open a representative office in Macedonia are the following:

a standard application containing the name of the company, the address and the activities that will be performed, an authorized copy of the certificate of registration of the foreign company, a proof of the decision of registering a representative office in Macedonia of the parent company, the proof of the decision of appointing the manager of the representative office, the  details regarding the working program of the representative office, a copy of the manager's passport, a proof of payment of the registration fee and a statement from the parent company regarding the fact that it's taking all the responsibilities for the actions performed by the representative office.

The decision regarding the registration is taken in maximum five days by the Register.
