Are there any special requirements for creating a German Representative Office?

The representative offices in Germany are often used to search the potential investment opportunities on the market. A representative office is considered a bridge between the foreign company and the companies or industries in the same segment as the foreign company. It is considered more like a continuation of the home office not a separated legal entity.

A representative office in Germany cannot sign contracts or deal in the name of the head office, invoice services or goods in behalf of the company.

Instead all of this, the representative may give information regarding the company’s goals and services to the potential partners or clients, make the connections with foreign companies in the name of the head office, coordinates the activities of the head office in Germany, identifies the market opportunities and makes surveys regarding the business in the appropriate market.

The representative offices are not subject to income taxation or VAT taxation as long as are not performing any commercial activities.

If a company is starting to perform any type of business, it must be registered as a legal entity and must be enrolled to the specific taxation.

What is the minimum share capital of a German Representative Office?

The representative offices must be registered in the commercial registers. The necessary documents for applying are: the standard application (that includes information regarding the company, like the size, capital and legal form, the decision of opening a representative office in Germany, the date when the decision was taken, the address of the representative office, the goals, information regarding the responsible for the representative office’s actions), legalized copies the memorandum of association (with the  reasons of opening a representative office, the structure, the competences of the responsible of the representative and the way the office should be dissolved), legalized copies of the articles of association. All the above must be notarized and accompanied by an official translation in German.
