Investing in Slovenia can be done either by setting up a company, or incorporating a branch of an already existing foreign company on the territory of Slovenia. Even though the economic situation of Slovenia is not one of the best, there are plenty incentives and entrepreneurs may invest in many sectors in need of development. A company branch in Slovenia is not a separate legal entity from its parent company which is fully liable for the branch's debts and obligations.
Preliminary activities prior to registering the company branch in Slovenia
A company, whether it's a company or a branch, cannot function without registration certificate. However prior to engaging in the registration process, the founders must prepare the foundation documents, articles of association and company charters. They must also be notarized along with an authorization permitting a representative to manage the company branch. Also the name of the Slovenian branch should be the same, or at least contain the name of the parent company. The final preliminary step consists of opening a bank account and deposit the working capital for which a certificate is issued.
Registering the company branch with the Slovenian Business Register
Registering with the company branch with the Slovenian Business Register is a mandatory procedure without which a company may not function. In order to obtain the certificate of registration the founders must submit an application containing the registration certificate of the parent company, the articles of association of the branch, list of names and addresses of the Managing Board, along with specimen signatures. The registration process is done online, through an electronic system and is completed in four to six days. After this time period, additional information may be requested, or the registration certificate is issued.
Using the same electronic system, the founders of the company branch can submit application for VAT and for other taxes. Also if the company has employees, their data must be submitted for health and insurance funds.
Setting up a company branch from abroad
The state of Slovenia welcomes foreign investment, and as a result the incorporation procedure is friendly for foreign investors. The company must have a registered office on the territory of Slovenia, and the incorporation procedures may be carried out by a representative authorized through power of attorney.
How long does it take to establish a Slovenian company branch?
The process of incorporation is short and straightforward, mostly due to the electronic system, which takes care of most of the procedures required for company formation. Preparing the company documents and opening a bank account are procedures completed in one day. All other requested procedures are completed through the electronic system, and require four to six days. Usually a Slovenian branch is established in one week.
