Open Company Branch or Subsidiary in Slovakia

The state of Slovakia offers incentives for different business sectors, and there is more than one way to invest in this country. Setting up a company may be a profitable activity, especially due to the positive attitude of the government towards foreign investment. However some entrepreneurs choose to set up Slovak company branches. A Slovak branch is not a separate legal entity and the parent company is fully responsible for the debts and obligations of the branch.

Preliminary activities prior to registering a Slovak branch
Registration with the Slovak Commercial Register is an important step for branch incorporation. However in order to apply for registration the founders must draft the foundation documents of the company and notarize them. Also the Slovak branch must have a bank account for future business transactions which should be created before registration. The company must appoint a representative to manage the company and carry out the registration procedures.

Registering a Slovak branch with the Registry Court
A Slovak branch comes into existence upon issuance of a registration certificate. This is obtained after submitting an application at the Commercial Register. The application must contain the notarized articles of association of the Slovak branch, a list containing the names and addresses of the company's directors and secretary and the registration certificate of the parent company issued by the relevant authority of the respective country. The application form can be sent by electronic means which should be secured with an electronic signature. Usually the registration certificate is issued in 5 working days.

After receiving the registration certificate the branch comes into existence but in order to be able to commence its activity there are a few steps that need to be completed. The Slovak company branch must be registered with tax authorities, and this is done through a resident individual. The branch must be registered as employer within 8 days of its first employment contract becoming effective and all employees must be registered with the Social Insurance Company.

Setting up a Slovak company branch from abroad
The Slovak Law does not limit the activities of a Slovak branch, and doesn't apply many restrictions for its formation. The process of incorporation can be carried out by a representative. The company's appointed manager must be a Slovak resident or have a valid long-term Slovak residence permit. However citizens of EU and OECD member states are not required to have residence permits. The whole incorporation process can be completed with the help of an individual or legal entity authorized to do so through power of attorney.

How long does it take to set up a Slovak company branch?
The whole incorporation process is not as complex as it may seem. The procedures are straightforward and most of them are completed in one day. However, registering with the Slovak Commercial Register may take up to five days. A Slovak branch is usually set up in two weeks.
