Nominee Director in the United Kingdom

 The main forms of business established in the United Kingdom are the limited liability companies and the joint stock corporations, first of them being designed for small and medium businesses and the second one for the major forms of business. Both of the entities require the appointing of company’s administrators and both of these forms are established by drafting the articles of association. In these articles where are specified the internal regulations of the company are stipulated the name of the company and its address, the purposes of the company, the availability term (if any), the name, citizenship and residence of the founders, the amount of capital and details regarding the shares, the name of the company’s representatives.

In some cases, the name of the beneficial owner is kept secret from third parties or from the public so it’s necessary to appoint a nominee director. Nominee directors are usually used in the company incorporation process, while the real owners have the rights to keep the company’s bank account and shares and also take any managerial decisions because of a power of attorney signed by the nominee directors. In certain cases, the Minutes of the Board of Directors are signed by it if are allowed by the beneficial owners. Usually they are requested to elaborate a declaration that will not use their rights against the beneficial owner’s interests or for his own interests, if are separated from the ones of the company.

Appointing a nominee director is offering a high degree of confidentiality with a small intrusion of these individuals or corporate bodies in the company’s activities, since it doesn’t have the power to sign and administrate the company’s bank accounts. In certain cases, it can sign on the annual accounts and statements but only after their elaboration by the company’s accountants.

The nominee director is often called “straw man” since it has no powers in the company’s management and has the single role of representing it in front of third parties and in front of the public. If there are any shareholding obligations, it must fulfill it in a specific time frame but usually, since the nominee director doesn’t have an active role in the company, there aren’t.
