Nominee Director in Slovenia

 Not being considered really a tax heaven like the offshore jurisdiction, Slovenia is not missing the opportunities granted to the foreign investors. Between these advantages, the foreign investors may appoint nominee directors in order to protect their real identity and interests in the company and also making possible the help on a person specialized in the Slovenian legal corporate law.

Even though the term of nominee director is not appointing an individual or a corporate body with the single role of being a director only on paper like in the offshore countries, it’s not unusual to appoint this type of entity in the Slovenian companies.

In offshore jurisdictions, the nominee directors, residents also named “front man”(straw man), are renting their names to non-residents which are deciding to keep in private their interests in a company. For this service, the nominee director is receiving a fee and must sign a power of attorney which is providing the powers to the beneficial owners. It must also sign a declaration that will not use the powers invested in him against the company or the beneficial owners. In some cases are allowed to sign on various documents but are not allowed to operate the company’s bank accounts.

In Slovenia, the nominee director can be appointed by a bank, a lender or a major shareholder of a company but must be a reliable and trustworthy entity as it will have a full set of rights and responsibilities like an usual company representative: it must use the Slovenian law in the company’s advantage, it must take all the measures required for the company registration, transformation or liquidation, must gather all the shareholders for meetings, keep accounts and company’s books and registers, elaborate various strategies in order to promote the company on the market, must represent the company in front of the public and other entities, must provide all the necessary information regarding him or the company to the Slovenian authorities or registers and other responsibilities usually granted to directors.

The procedure of appointing a nominee is not regulated by any law in Slovenia, mostly because it doesn’t have the same characteristics as the equivalent from the offshore jurisdiction.
