Nominee Director in Poland

 The term of nominee director is a notion used to appoint a person which is replacing the beneficial owners of a company from the official documents in order to protect their identities. Usually the name of the nominee director appears in the company’s articles of association and can be an individual or a corporate body.

Other advantage besides the confidentiality granted to the company’s real owners’ identity and assets is that these entities are very familiar with the Polish commercial legislation so the incorporation processes can be shortened by it.

Usually in the traditional offshore jurisdictions, the nominee directors can action as the company’s representatives only on paper and can invest all the powers of management to the beneficial owners through a power of attorney but in Poland this procedure is not possible. The Polish nominee director is appointed by the company’s representatives or interested third parties such as banks, lenders or major shareholders in the articles of association but it doesn’t have the same characteristics as the traditional nominee director as his/her duties and rights are not limited and it must act as a legitimate representative: register and deliver the personal information and the company’s information at the Finnish authorities, keep books of accounts, specific registers and other documents, use the Polish commercial law for the interests of the company, prepare annual statements of accounts, participate at an performed annual audit, approve the company’s commercial transactions on the market, gather general meetings of the shareholders and supervise the activities of the company during the liquidation or transformation processes. It is possible to limit these powers through the articles of association.

Because of the above, the beneficial owners must be sure that the chosen person for the role of nominee director it’s a trustworthy, vertically and impartial individual or corporate body.

The procedure of appointing a nominee director is not very spread because of the above characteristics in Poland, as it’s a process usually characteristic to offshore jurisdictions.
