Nominee Director in Malta

 The Maltese private limited liability company public limited liability companies are administrated by one or more directors. The identity of one of the major individual in the company can be replaced with the name of a nominee director, usually appointed by a shareholder, the bank or a lender. In the articles of association, the main regulatory document on which the company is based, is stipulating besides the address and name of the company and details regarding the capital and shares, the name of the company’s administrator.

 

While in offshore jurisdictions, the term of “nominee director” appoints a person whose name is hired only for being used in the registration process and not having any liabilities or rights in the company as an usual director may have, in Malta since there is no legislation regarding the limitation of powers of the nominee directors, the duties and rights of the nominee director remains the same as the ones of the company’s responsible. This makes this procedure so rarely met in Malta, since there not many companies willing to let their business ruled by a third party.

Also the Anti-Money Laundering regulations signed by Malta all over the years makes this procedure not so often used.

 

A Maltese nominee director is responsible for convening general meetings of the shareholders, takes all the necessary steps in company incorporation, transformation or liquidation, elaborates reports and present it in front of the shareholders’ meetings, keeps book of accounts, provide all the relevant information regarding his person and the company to the authorities, represent the company in front of third parties and public, sign all the company’s accounts and other official documents.

 

Appointing a nominee director has certain advantages as well(not so obvious as in the case of the offshore companies) such as it grants a high degree of confidentiality to the involved third party or has very good commercial law knowledge, thing that can reduce the waiting moment between the desire of incorporating a company and the actual incorporation.

 

The appointment of nominee directors is not very popular in Malta, mostly because the beneficial owners are not comfortable with letting all the rights and responsibilities to a third party, however BridgeWest can offer in certain cases nominee directors in Malta depending on certain specifics of your business in the country.
