Nominee Director in Germany

 The term of nominee director is defying a person who acts as a non-executive director of the board of manager of a company, replacing the beneficial owner of it. Mostly the resident in a tax heaven are renting their names to a non-resident as a trustee on the board of an offshore firm in that jurisdiction. Normally, there are no shareholding requirements for this individual or corporate body but, if the articles of association of that company requires a share qualification, he or she must obtain them in a specific timeframe. In certain jurisdictions corporate bodies are appointed to act as nominee directors of these companies. It is also named straw man or front men.

In Germany, the term of nominee director is not defying the above type of entity. The nominee director can replace the beneficial owners of the company on paper but must act as company administrators so it’s vital to appoint a reliable person, which will take only the necessary measures to maintain the company in an ascending trend and which will not harm its status on the market. It has the same attributes as the company’s manager: register the company, provide his personal details to the registers, elaborate strategies for the company, keep book of accounts, registers and all the company’s documents, take daily decisions, participate at annual audits and convene general meetings of the shareholders. It is appointed by the company’s beneficial owner(s) and his name will appear in the set of company’s regulations (articles of association), along with other information related to the company: the name, the address, the capital, the shares, the company’s strategy, its objectives, the names of the shareholders, the shares’ characteristics, the amount of capital (the German Limited Liability Company (Gesellschaft mit beschränkter Haftung – GmbH must provide a minimum capital of 25000 EUR and the Aktiengesellschaft – AG must deliver 50000 EUR).

Appointing a nominee director is not very popular in Germany, mostly because of the above characteristics and it’s a process usually characteristic to offshore jurisdictions. There is no legislation to regulate the process of appointing a nominee director in Georgia, however BridgeWest can offer in certain cases nominee directors in Georgia depending on certain specifics of your business in the country.
