Nominee Director in Denmark

 The main Danish document on which a company, with limited liability or joint stock is based is the articles of association. In it, the founder(s) are stipulating the name of the company, the address, the purposes for which is founded, the duration term, the  citizenship and residence of the founders and directors, the amount of capital and details regarding the shares, the name of the company’s representatives etc.

In certain cases, the name of the beneficial owner is kept secret from public or from third parties so a nominee director can be appointed. A Danish nominee director is an entity, individual or corporate body, whose name is used by the beneficial owners in the incorporation process and registration at the specific authorities.

The Danish laws are not allowing the use of the traditional form of nominee director, also named “straw man” in certain offshore jurisdictions. The nominee director is becoming the company’s representative with rights and duties established in the Articles of Association. Among it, a nominee director must perform the company registration, help in the process of liquidation, merger or de-merger, keeps all the company’s books and submits the annual returns and statement of accounts, convene the general meeting of the shareholders, represent the company on the market and action in the name of it in front of the authorities.

In the traditional sense, the nominee directors are appointing the individuals or corporate bodies involved only in the process of company incorporation but in Denmark his main public role is to act as the company’s public administrator. Hiring a director of your Danish company involves a degree of trust in this person as he/she can fully represent the company.

The main advantage of appointing a nominee director is that the process is offering a high degree of confidentiality. His rights and duties can be also limited in the company’s Articles of Association.

The procedure of appointing a nominee director is not very popular in Denmark, as it’s a process usually characteristic to offshore jurisdictions.
