Setting up a Limited Liability Company (Sh.p.k.) in Albania

It is practically a rule for foreign investors to set up a limited liability company in Albania instead of any other type of company. The decision might be influenced by the low cost of this type of business. Almost 80% of the companies in Albania are limited liability companies. 


The minimum share capital for incorporating a limited liability company in Albania is 100 LEK. Contribution may be in either cash or assets. The initial capital can be divided between members accordingly and it can be divided in equal shares. However, a limited liability company in Albania can choose not to offer their shares to the public.


A limited liability company in Albania can be founded by one or more individuals or legal entities. If there is only one founder, he is called a sole partner. Shareholders of a limited liability company in Albania are not liable for the commitments made in the name of the company. Each shareholder is entitled to his share in the company in proportion to his contribution. Other legal relations between members can be mentioned in the company’s Statute.


The management of a limited liability company in Albania is performed by an assembly or board of directors. The most important decisions concerning the company, such as alteration of capital or company reorganization are made by the General Assembly, while other decisions are the responsibility of the administrators appointed for a maximum period of five years. Shareholders' meetings in an Albanian limited liability company must be announced seven days before the date of the meeting.


The law requires a limited liability company in Albania to prepare annual financial statements. Also, the administrators may prepare a report if the decision is made for the limited liability company in Albania to become a joint stock company due to capital issues.

Other requirements

The name of a limited liability company in Albania should include the name of one or more of the founders, as well as the words “Shoqëri me Përgjegjësi të Kufizuara” or simply Sh.p.k. The statutory capital can also be included in the company’s name.
