Types of companies in Albania

The state of Albania has an economy that needs incentives for investors, and the Albanian government is well aware of this issue, having enabled adoption of the national treatment clause, stating all foreign investors are treated no less favorable then Albanian companies. Having this in mind, along with the geographical and geopolitical advantages, investing in Albania may be a good choice. There are a number of entities to choose from, but the most common is the Albanian limited liability company.

Open a Limited Liability Company (LLC) in Albania
In Albania a limited liability company does not differ too much from limited liability companies all over the world. It is the most common company type in Albania as it is suited for small and medium-sized businesses. It can be established by one or more founders who provide together a minimum capital of 100 Lek (the currency of Albania). The members of an Albanian limited liability company are held responsible for the company's losses and debts only to the amount invested by each one, having a limited liability, as the entity's name suggests. The company must have a board of directors and is subject to taxation.

Create a Closely-held Joint Stock Company (JSC) in Albania
The Albanian joint stock company follows the limited liability company in terms of occurrence. It is designated for business at a larger scale, and limited liability companies may transform in one, if their development grows. The capital of a JSC is divided into stocks with a nominal value, established by the partners. They have a limited liability only to the extent of each one's contribution. The closely-held JSC cannot make a public offering of its shares, not being able to sell them, or to register them to the stock market. The minimum required capital for a closely-held Albanian Joint Stock is 2.000.000 Lek.

Form a Public Joint Stock Company in Albania
An Albanian public Joint Stock Company is also established by one or more members who provide a share capital divided into stocks. The members of a Public Joint Stock are held liable for the company's losses and obligations only to the extent of their own contribution for the company. The main difference is represented by the free offering of shares to the public, which the open JSC may do. The minimum required capital of a public JSC is 10.000.000 Lek.

Open a Limited Partnership (LP) in Albania
Partnerships are rarely used in Albania and they can be set up by two or more persons who join for the same business purpose. The limited partnership does not require a minimum capital and it is a simple entity to form. At least one partner is limited, being held responsible for the partnership's losses only with his contribution, and not being able to play a management role in the company. A limited partnership must have at least one general partner, bearing full liability to the company's debts and obligations, instead having the possibility to manage the company.

General Partnership (GP) in Albania
The general partnership of Albania is set out by at least two members who do not have to provide a minimum capital. All the partners of a general partnership are general, as the name of the entity suggests, playing an important role in the management of the company and being responsible for the partnership to the extent of their personal assets.
