Company Liquidation in Azerbaijan

Liquidation of a company in Azerbaijan is the process of ending a company and redistributing the assets of it to the creditors and the members,

There are two ways a company can be liquidated: compulsory or voluntary.

The compulsory liquidation is a process that is made at the creditor’s request with a Court order, while the voluntary request is a decision taken by the members of the company during a special general meeting. A liquidator or a liquidators committee is appointed to carry on with the liquidation process. Usually in a compulsory liquidation the appointment of the liquidator is a Court’s decision, while in a voluntary liquidation, the members of the company decides the liquidator’s identity.

The companies about to be liquidated in Azerbaijan must follow the regulations of the Law on State Registration of Legal Entities and State Register. The liquidation is based on the deletion from the State Registration Book. The application of the relevant documents to the State Registration Book of Azerbaijan must occur within 5 days since the decision of liquidation was taken by the authorized body.

The deletion from the Azerbaijan State Register is including cancelation of the state registration numbers, deletion of the state account units of Azerbaijan Republic register, notification of the involved state bodies regarding the radiation of the registration.

The application must include: the liquidation decision, tax declaration approved by a relevant executive power body of Azerbaijan, details regarding the final tax inspection by the relevant executive power body of Azerbaijan, the proof that the liquidation announcement was already made public in press, notarized copies of the company charter and state registration certificate, the company seal and other relevant documents, if requested.

The members of liquidation committee must sign the documents before registering it.

The documents must be accompanied by a copy that will be returned to the company after verification. The copy will be also having a note from the relevant executive power body of Azerbaijan regarding the time of receipt of the documents.

If the documents are properly submitted, the relevant executive power body will take a decision no longer than 7 days from submission, regarding the erasing the company from the Azerbaijan’s Republic State Register.

If there are documents missing or wrongly deposited, than the company must correct the shortcomings, if not, the company cannot be removed from the register within 2 months. The company is informed in written regarding these matters.
