Company Law in Albania

Companies in Albania are regulated by the Law 9901 from 14.04.2008 on the entrepreneurs and commercial companies, a law which brought important changes to the previous corporate law. The company law in Albania however refers to some other aspects from time to time, which are provided by the law 9879/2008 or law 9723/2007. Corporate law in Albania also regulates the relations between commercial companies and shareholders by each company’s statute. Actually, the Statute of any type of company may consist of regulations that are specific for each business, but at the same time that does not break the main rules of the Albanian Company Law. Since Albania signed the Stabilisation and Association Agreement with the European Union, the purpose of the Albanian corporate law has been to implement the European company law principles.


The Albanian company law mentions different types of companies which can be established in Albania. An entrepreneur who wants to set up a business in Albania may choose between a limited liability company, a joint stock corporation, a public joint stock company, a limited partnership or a general partnership.

Establishing a limited liability company in Albania requires a minimum share capital of 100 LEK and one or more shareholders, while the incorporation of a joint stock corporation is far more expensive. A closely held joint stock company in Albania needs at least 2,000,000 LEK in order to be set up, while a public joint stock company is established only if at least 10,000,000 LEK are provided. 


Company law in Albania makes important differences between the interests of the company, of the shareholders and of the company as a whole in order to make it clear when it comes to corporate social responsibility. 

As far as the employees are concerned, an Albanian company with more than 50 employees must have an Employee Council for five years with the role of supervising collective agreements and obeying of the law. The Employee Council or the representative of this body should take part in the process of decision making whenever the employees’ rights are concerned.
